Terms of Service

These Terms of Service ("Terms") govern the relationship between Raknetic ("Raknetic," "we," "us") and any client ("you," "client") who engages us to design, build, or maintain an AI system. By booking an audit or engaging our services, you agree to these Terms.

1. What Raknetic Provides

Raknetic designs and builds custom AI systems for businesses, including but not limited to lead handling, CRM updates, and workflow tasks. Every engagement begins with a free audit that defines the scope of what will be built.

2. Client Responsibilities

To deliver your system on time and as agreed, you are responsible for:

• Providing accurate information about your business processes and requirements.
• Giving timely access to any accounts, tools, or credentials needed to build and connect the system.
• Reviewing and approving project milestones within a reasonable time.

Delays caused by late responses, missing access, or changes to the agreed scope may extend project timelines.

3. Payment Terms

Projects are billed in two parts:

• Implementation fee: 50% is due upfront before work begins, and the remaining 50% is due upon completion and delivery of the system.
• Monthly maintenance fee: a separate, recurring fee that applies after your system goes live, covering ongoing support and upkeep. This is billed independently of the implementation fee, and is waived under the conditions described in our Refund Policy.

Exact fees and billing schedules are agreed with each client individually before work begins.

4. Ownership of the Delivered System

Raknetic owns the AI system built for your business, including its underlying code, configuration, workflows, templates, and any tools or components used to create it. Once the implementation fee is paid in full, you receive a license to use the delivered system for your own business operations. This license is not exclusive and cannot be transferred.

You do not receive ownership, source-level rights, or the right to copy, resell, sublicense, or repurpose the system outside your business. Raknetic may reuse, adapt, and build upon the underlying tools, templates, frameworks, and components used in your system in future work for other clients.

5. Our Guarantees

Every project is backed by two guarantees: the Built Right Guarantee, covering your implementation fee, and the Pays For Itself Guarantee, covering your monthly maintenance fee. Full terms, including how and when each applies, are set out in our Refund Policy.

6. Limitation of Liability

To the fullest extent permitted by law, Raknetic's total liability for any claim arising from our services is limited to the amount you have paid us for the specific engagement giving rise to the claim. Raknetic is not liable for any indirect, incidental, or consequential damages, including lost profits or lost business opportunities.

7. Termination

Either party may end an engagement by written notice. Fees already due for work completed up to the point of termination remain payable.

8. Dispute Resolution & Governing Law

If a dispute arises, we will first attempt to resolve it informally and in good faith. These Terms are governed by the laws of Bangladesh, and any dispute not resolved informally will be subject to the jurisdiction of the courts of Bangladesh.

9. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated effective date.
